Agreement to terms

By accessing tynasystems.com or hiring Tyna Systems LLC, you agree to these Terms. If you do not agree, do not use our services.

Services

Tyna provides software development, business operations and systems implementation including Notion, ClickUp, websites, CRM and connected backend systems. Specific deliverables, timelines and fees are defined in a Proposal or Statement of Work.

Website use

You may browse our site for business purposes. You may not copy, scrape, resell, hack, overload, reverse-engineer, or use our brand and logos without written permission.

Client Engagements

How client projects work

  • Proposals: Work starts after a signed Proposal or SOW and a 50% deposit unless otherwise agreed.
  • Payment: Invoices are due within 7 days. Late fees are 5% per month. Work may pause if unpaid after 14 days.
  • Changes: Scope changes require written approval and may affect cost or timeline.
  • Client responsibilities: Clients provide timely access, content and feedback. Delays from the client side pause the delivery timeline.
Intellectual Property

Ownership and third-party tools

  • Your IP: You own all business data, content and customer records in systems we build for you.
  • Our IP: Tyna owns reusable code, frameworks, SOPs and internal tools we create. We grant you a perpetual license to use deliverables for your business.
  • Third-party tools: Notion, ClickUp, Webflow and other third-party tools are governed by their own terms. We are not liable for their downtime.

Confidentiality

Both parties keep non-public business information confidential for 3 years. We sign NDAs on request.

Warranties

We deliver services with professional skill, but we do not guarantee specific revenue or growth results.

Liability

Tyna is not liable for indirect losses, lost profits or issues caused by third-party tools. Total liability is capped at fees paid in the last 3 months.

Termination and Data

Ending work and protecting data

  • Either party can terminate with 14 days written notice.
  • The client pays for completed work.
  • We transfer assets and admin access within 7 days after final payment.
  • We process data according to our Privacy Policy.
  • You confirm that any customer data you provide was collected legally.

Governing law

These Terms are governed by Nigerian law. Disputes first go to mediation in Lagos. If unresolved, Lagos State courts have jurisdiction.

Changes and contact

We may update these Terms. Material changes will be sent by email to active clients. Continued use means acceptance. Questions: legal@tynasystems.com.
